Wistron convened a meeting of its Board of Directors and announced the following resolutions:
- Approved an additional capital injection of USD150 million into its wholly owned subsidiary, Wistron InfoComm (USA) Corporation (WUS), with a maximum capital expenditure of USD146 million for facility improvements and the acquisition of machinery and equipment to support future business development at the Westport plant (D2) in Texas.
- Approved an additional investment of up to USD59.1 million for facility upgrades and equipment acquisitions at Wistron InfoComm (Vietnam) Co., Ltd. (WVN), a wholly owned subsidiary in Vietnam, to support the future expansion of its server businesses.
- Approved SMS Infocomm Corporation (WTX), a wholly owned subsidiary, to lease a facility in Dallas, Texas, with a right-of-use asset amount not exceeding USD 15.1 million. The lease term will run from 2026 to 2033 and is intended to support future after-sales service business needs.
- To enhance the quality of shareholder services and further improve the efficiency and effectiveness of shareholder-related administrative operations, the Company will outsource its shareholder services currently handled internally to Yuanta Securities Co., Ltd., effective January 1, 2027.
