Inission Acquires the Lithuanian Company Selteka

Inission AB has signed an agreement to acquire 100% of UAB Selteka. Selteka is a well-respected EMS (electronics manufacturing services) company with operations located in Kaunas, Lithuania. Through the acquisition, Inission expands its geographical presence in the Baltics and thereby strengthens its position in Northern Europe.
The agreement was signed on June 30, 2025 and the takeover is on July 1, 2025. According to the agreement, the price for 100% of the shares in Selteka amounts to EUR 8 million. The payment for the shares upon takeover is financed with a bank loan of EUR 4 million, EUR 2 million in cash and payment with own newly issued shares corresponding to EUR 2 million.
The number of newly issued shares amounts to 636,940. After the new issue, the total number of shares will be 22,793,797. The share capital increases from the current SEK 923,814 to SEK 950,375. The dilution effect amounts to 2.8%.
